Terms of Sales
  1. Applicability: These terms and conditions apply to products sold, loaned, or gifted to any outside party by Sintec Optronics Pte Ltd ("SINTEC"). These terms and conditions take precedence over any conflicting terms and conditions of the purchase order (or other instrument of transaction) unless specifically agreed to in writing by SINTEC. Facsimile transmissions shall be deemed "in writing" for any correspondence pertaining to the contract. Any Contract to which these terms and conditions apply shall be governed by the laws of theRepublicofSingapore.
  2. Shipping: Shipping shall be ex work at Sintec Optronics indicated place in the quotation or proforma invoice.
  3. Payment terms: Payment terms are to be bank T/T in advance or Net 30 from date of invoice, with approved credit. The customer may be asked to furnish financial data and references in order to establish/maintain credit. Sintec in its sole discretion may extend or revoke credit.
  4. Limited Warranty: SINTEC warrants that its products will be free of defects in material and workmanshipfor a period of one year from the date of shipment. SINTEC will repair or replace at its expense defective products returned by the Customer under a Return Authorization number issued by SINTEC. This warranty is void if the product is damaged by misuse, mishandling and environment by any party not under the control of SINTEC. "Misuse" includes use of SINTEC product with incompatible products resulting in damage to the SINTEC product. The customer is responsible for charges of freight costs for returning product for repairs. The customer is responsible for repair charges and all shipping charges for non-warranty repairs. SINTEC's sole liability for any use of its product, regardless of the operating condition of such product, is limited to repair or replacement of the product. The customer holds harmless and indemnifies SINTEC from any and all other claims resulting from the use of SINTEC products.
  5. The warranty period of optical components (such as mirror, lens etc) and crystals (such as Nd:YAG rod, KTP etc) is 7 days. These items should be new and not used for returning for repair or replacement within the period. The warranty is void if used.
  6. There is no warranty for all consumables such as laser lamps (krypton and xenon lamps).
  7. All overseas travel expense and freight during the warranty are not included.
  8. Confidential Information: Any drawing, specification or other technical data provided by SINTEC bearing a proprietary notice shall not be disclosed by the Customer to any external party nor shall it be used to design or manufacture products similar to SINTEC products without the express written authorization of SINTEC.
  9. Default: Should the Customer default on its obligations under the contract incorporating these terms and conditions, SINTEC shall be entitled to recover from the Customer any amounts owed under the contract plus all costs incurred to recover such amounts, including but not limited to court costs and attorneys fees.
  10. Reschedules: SINTEC shall make its best effort to ship product in accordance with ship dates mutually agreed with the Customer. Should the order be delayed due to a failure of the Customer to provide required information, material, or any other item by an agreed upon date, SINTEC may unilaterally reschedule or cancel the order.
  11. Failure to take Delivery: For blanket order, failure by the customer to take delivery of the total quantity of the purchase order within a 12 month period after the order acknowledgment date will result in a recalculation of the unit system price based on the actual quantity delivered. The customer shall be liable for the resultant repricing invoice and payment in full must be issued by the customer to SINTEC within 30 days of the end of the period or within 30 days of the of the severance of the agreement, whichever is sooner.The Customer will be liable for material and labour for custom product cancelled by the Customer after such expenses have been incurred by SINTEC.
  12. Cancellation: The Customer may cancel an order and releases for standard product up to 15 days of the scheduled ship date. The Customer shall be liable for a 10% restocking charge for cancellation of a release for standard product within 15 days of a scheduled ship date, a 20% restocking charge after the product has shipped and any resultant repricing invoice from Section 8 of this agreement. The Customer will be liable for material and labour for custom product cancelled by the Customer after such expenses have been incurred by SINTEC.
  13. Taxes: The Customer is responsible for all taxes or assessments of any kind levied on the equipment by any governmental authority.
